MEMORANDUM OF UNDERSTANDING (MoU)
This Memorandum of Understanding (MOU), effective as of the later of the dates beneath the parties’ signatures below, is made and executed by and between:
jiSeniorji, a collaborative brand of Flasho Tech Private Limited and Public Incubator Inc., Canada, Operating from Cowork Venue 1st Floor, New Annex Building Arch Bishop's House, Satya Nagar, Bhubaneswar, Odisha 75100,
(Hereinafter referred to as "Company", which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) of the ONE PART;

having its registered office at
Hereinafter referred to as the “Partner”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) of the OTHER PART.
jiSeniorji and the Partner are hereinafter individually referred to as a “Party” and collectively as the “Parties”.
WHEREAS:
The Company is committed to supporting partners by providing access to seniors, users, and customers registered on the jiSeniorji platform.

The Partner is dedicated to supporting seniors by offering its services, products, and volunteering opportunities, as applicable.
NOW, THEREFORE, both parties hereby enter into a cooperative relationship and agree to the following terms and conditions:

A) Responsibilities of jiSeniorji

The Company agrees to introduce and offer products, services, and relevant senior-centric opportunities offered by the Partner to anybody associated with the jiSeniorji platform.

The Company will promote the Partner’s services, products, and initiatives through its available platforms, including but not limited to social media, corporate website, and internal communications.

The Company will enable the Partner to offer the JSJ reward program via the company's jsjcard.com platform to its clients.

The Company will provide feedback and suggestions to the Partner to ensure the effectiveness of the services and products offered.

The Company will ensure that its promotions comply with legal and ethical standards, safeguarding the Partner's reputation.
B) Responsibilities of the Partner

The Partner will collaboratively work with the Company to identify opportunities to serve seniors, either through local presence or virtually, as applicable.

The Partner will provide "senior-friendly" services and, if necessary, customize its services to be tailored to individuals 50+ years old.

The Partner will provide detailed information about its products, services, and/or volunteering opportunities to the Company so that they can be effectively promoted and offered to clients.

The Partner will promote the Company’s involvement and support in their initiatives through its platforms, including social media, newsletters, and events.

The Partner will ensure the quality and reliability of the services and products offered to seniors.

The Partner will maintain transparency in its operations and provide regular updates on its services and products.

C) Mutual Agreements

Both parties agree to abide by the “terms & conditions” mentioned on their respective websites.

Both parties agree to safeguard the confidentiality of the information exchanged between them in relation to the opportunity, commercials, and any information deemed to be confidential; the release of such information may cause material damage to either party.

Both parties agree to include each other’s logos and acknowledgment in their respective promotional materials.

Both parties will honor and protect the intellectual property and copyrights of each other.

Both parties agree to hold regular meetings to discuss ongoing projects, share feedback, and explore further collaboration opportunities.

Both parties agree to provide periodic reports on the progress and impact of the collaborative initiatives.

Commercial models for the collaborative arrangements for the products and/or services offered to end clients will be discussed and mutually agreed upon, as applicable.

No exclusivity is assumed from either party, i.e., both parties can associate with and offer their services and products to others at their discretion.

Both parties can utilize each other’s name and brand to promote their products and services with mutual consent without causing any reputational damage to the other party. Any objections related to potential reputational hazards should be promptly resolved with mutual agreement.

Both parties agree to comply with all relevant legal and regulatory requirements during the collaboration.

D) Term and Termination

This MoU shall commence on the date of signing and shall remain in effect unless terminated earlier by either party with a 30-day written notice.

Either party may terminate this MoU with a 30-day written notice if the other party breaches any of the terms or if both parties mutually agree to terminate.

Upon termination, both parties agree to return any confidential information and cease using each other’s intellectual property and branding.

E) Miscellaneous

Any amendments to this MoU shall be made in writing and signed by authorized representatives of both parties.

Both parties agree to maintain the confidentiality of any sensitive information shared during the course of this collaboration.

This Agreement shall be governed by and construed in accordance with the laws of India. The courts at Bhubaneswar shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.

Both parties agree to indemnify each other against any claims, damages, or losses arising from their respective actions or omissions under this MoU.
